Risk Disclosure Standard

Every credible institutional document acknowledges risk. SWSS Chain does not seek to minimise the appearance of risk. It seeks to demonstrate that every material risk has been identified, assessed, and structurally mitigated.

A structural mitigation is one that follows from how the system is built rather than from a commitment to behave in a particular way. Deterministic transaction ordering is structural; a policy of ordering fairly is not. The distinction is the whole of what this section claims, and it is worth stating plainly because the two are easily confused by a reader who is being asked to rely on one of them.

Every risk in the table below has an engineering answer, an owner and a forward plan, and each is stated in those terms. It is equally worth stating what that does not mean: a mitigation reduces a risk, and does not eliminate it. A small number of the conditions in this section are not engineering problems at all — price, legal characterisation and the pace of adoption belong to markets and to law — and they are set out separately rather than folded into a table where every row ends in an answer. This section lists the risks assessed as material; it does not claim to list every risk that exists.

Material Risk Factors & Structural Mitigations

Risk Category Risk Description Structural Mitigation
Technology Risk Smart contract vulnerabilities may affect product integrity Every contract is independently audited before it reaches mainnet, and the EVM Cancun execution layer means established audit firms review SWSS contracts with the tooling and practice they already have rather than learning a bespoke environment first. Contract development and review are conducted at the SWSS Chain Global Technology Centre, and each protocol release is exercised on testnet 122606 under the same build as mainnet before deployment.
Regulatory Risk Changing regulations may affect product availability or coin classification The ecosystem operates under licensed entities in each primary market, with counsel retained across all of them, and the law governing any member agreement is stated in that agreement rather than inferred from this document — set out in full in the legal and regulatory framework. Jurisdictional monitoring is continuous, and the architecture is built to absorb a change in requirements rather than be redesigned by one: identity, jurisdiction and institutional signature are already fields of the settlement record, so a new obligation is met by the data the settlement already carries.
Market Risk SWSS Coin price volatility may affect participant behaviour Total supply is fixed and cannot be increased, which removes inflation risk at the protocol level rather than by policy. The Settlement Combustion Model ties supply discipline to productive use: the Transactional Settlement Levy permanently retires a fraction of every deed settled, so retirement is driven by settlement activity rather than by a treasury decision. Price itself is a market condition and is stated as such below.
Protocol Longevity Settlement requirements for regulated assets continue to evolve SCP operates four pillars at the consensus layer — SAPE prioritises deed transactions, DSA fixes ordering before block production, PCA pre-assembles the block, and finality attestation issues the Finality Certificate — so a change in settlement requirements is answered at the layer that decides settlement rather than by an application above it. The protocol is versioned and advanced through on-chain validator governance, with the production release running on both networks and a forward track under development at the SWSS Chain Global Technology Centre. Protocol capability advances by release, on a published track.
Adoption Risk Products may reach targets more slowly than projected Products are live across several verticals today and their status is published in the ecosystem record rather than asserted here, with delivery for the remainder tracked on Product Milestones and maintained as it moves. Parallel development streams mean no single adoption curve determines the outcome, and each product settles through the same layers, so capability delivered for one is available to all of them.
AI Model Risk SWSS AI OwlX v1 accuracy in production environment A domain-specific programme in active development since Q1 2025, as recorded in the development record, built and operated at the SWSS Chain Global Technology Centre. Deployment is staged with continuous monitoring before full production release, and the model operates alongside settlement rather than inside it: an AI Agent Identity record is a registration in its own transaction class, and no model output settles a deed on its own.
Operational Risk Validator availability below the threshold SCP requires SCP maintains consensus and continues issuing Finality Certificates while more than two thirds of the active validator set is available, so settlement does not depend on any individual operator. The active set is an on-chain record readable directly from the network, spanning Foundation and Institutional classifications, with further nodes in qualification testing and a long-term target above 100 — and the fault tolerance grows as the set does. Admission runs through SWSS NodeX on an on-chain governance proposal with KYB verification.
Bridge Risk Wrapped representation and the locked supply behind it SWSS Bridge is lock-and-mint: native SWSS Coin is locked while wSWSS exists, so the wrapped form is a claim on locked supply and never a second supply. Issuance authority is held on chain and the locked balance is publicly readable, so the backing can be verified by anyone at any time rather than attested by the operator. Cross-chain movement carries exposure that no design removes, and the control here is that the exposure is measurable.
Liquidity Risk No venue-based exit exists for wSWSS today Venue status is published rather than described: Uniswap Expected Launch, PancakeSwap Expected Launch, SushiSwap Expected Launch, 1inch Expected Launch. A listing is a decision of the venue and not of SWSS, so none is presented here as committed. Until a venue is live, a participant should not assume a market exists at any price.
Custody & Key Risk Loss of keys, or an irreversible settlement made in error Identity credentials are recoverable through SWSS IVL because they are Foundation-issued on-chain records rather than secrets held by the member, so losing access to a device does not lose verified status. Settlement itself is protected before it happens rather than after: verification precedes it, and SWSS App confirms an instruction before it is submitted. What remains is permanence — a settled deed is final by design, and that is the property the chain exists to provide.
Counterparty Concentration Exposure to the entity behind a settled asset Properties settled through SWSS RWAX are owned, developed and managed by SWSS Fintech, so a deed holder's position is exposed to that entity as well as to the asset. Where issuer and platform sit within one group, the protections a holder relies on are those written into the deed and enforced at settlement, not those implied by separation. The DEED-1 record makes the legal owner, jurisdiction and institutional signature part of the settlement rather than a claim about it, and the register is public — which makes the exposure legible rather than smaller. Admission of independent issuers is governed by the SWSS Foundation registry, and the concentration reduces as that register admits them.
Governance Concentration Foundation weight in consensus and in identity The genesis validator set is the SWSS Foundation's, and that is stated rather than qualified: a permissioned settlement network with KYB admission is concentrated by design at this stage. What constrains it is that the exercise of that concentration is visible. Institutional and Custodian validators are admitted by on-chain governance proposal with KYB verification through SWSS NodeX; votes are counted one institution, one vote rather than by holding, so admission cannot be bought; and every proposal, admission and vote is a public record that cannot be revised after the fact. What removes the ceiling is architectural rather than intended: BLS signature aggregation holds the cost of proving finality constant however large the validator set grows, so the network's capacity to admit does not depend on anyone's plan. Foundation weight falls as admission proceeds, and the record of it is public at every step.
Protocol Upgrade Risk Forward protocol work reaching production A forward track exists and is deliberately ahead of production; what mainnet runs is what mainnet reports, and the two are not the same thing. Upgrades reach mainnet through on-chain validator governance rather than by operator decision, and the development record states which track is production and which is not. An upgrade is still a change to a running settlement layer.
Third-Party Dependency Identity providers and public network endpoints Verification is performed by admitted providers, and a provider's removal invalidates no credential already issued through it, because the credential is the Foundation's record rather than the vendor's. Public endpoints and the explorer are operational services and can be interrupted; the chain's data is not held by them, and a participant running a node reads the same state directly.

Conditions The Architecture Does Not Determine

Three of the items above are conditions of the market and the law rather than properties of the protocol, and one is a designed property rather than a defect. Separating them from the table is deliberate: they are not engineering problems awaiting an engineering answer, and presenting them as though they were would misdescribe both them and the mitigations above.

Price is a market condition. A fixed supply removes inflation risk at the protocol level, which is a different thing from market risk. SWSS Coin can move in price for reasons unconnected to settlement activity, and nothing in this document is a representation about rate, yield, price or return. Characterisation is a matter of law. Licensed entities, retained counsel and continuous jurisdictional monitoring are the technology's and the business's contribution to it; how a regulator or a court characterises an instrument is not theirs to determine, and the classification in the legal framework is this document's stated position rather than a settled question. Adoption is a decision taken by the market. Parallel delivery means no single product determines the outcome, and no arrangement of products makes an economy adopt an infrastructure on a schedule.

Irreversibility is the product, not a gap in it. A settlement that could be reversed administratively would not be a settlement, and the legal weight of a Finality Certificate rests precisely on the fact that nothing can undo what it certifies. The technology therefore works before the event rather than after: identity is verified first, an instruction is confirmed in SWSS App before submission, and the settlement path is deterministic from that point. What cannot be offered is a reversal, and a settlement layer that offered one would be worth less rather than more.

Stating these plainly is not a concession. An institutional reader discounts a risk section in which everything is answered, and the value of the mitigations above depends on this section being honest about what they do not cover.

Where A Risk Falls

swsschain · how a risk is treated Stated, limited, checkable

swss risk explain --treatment

FIRST Stated The risk is named before it is answered. A section that answers first is not a disclosure. SECOND Limited By a mechanism that is running, not by an intention — and the mechanism is named, not implied. THIRD Checkable Where a reader can confirm it without our cooperation, because the record is not ours to revise.

Every row in the table above is written in that order, deliberately. A risk section where each risk is answered in the same breath it is raised reads as reassurance, and reassurance is not disclosure — so the risk is stated first, and stated plainly, before anything is said about what limits it.

The risks above do not all fall in the same place, and a reader assessing exposure needs to know which are the protocol's and which are their own. Consensus availability, smart contract integrity, protocol upgrade and sequencing are properties of the network: they are mitigated by how it is built, they are observable on chain, and a participant does not manage them. Regulatory characterisation and the entity behind an asset sit with the operating companies described in the legal framework.

Custody, the decision to settle, and the decision to hold or move a wrapped representation sit with the participant. The architecture supports each of them — recoverable credentials, verification before settlement, confirmation before submission, and a locked balance anyone can read — and it does not take the decision itself, because a settlement layer that decided for a participant would be a custodian rather than a settlement layer. Ecosystem Performance sets out how the network's own side of this can be verified by someone who trusts nothing in this document.

What This Section Does Not Claim

This is a disclosure, not a guarantee, and not a forecast. It lists the risks assessed as material at the time of this revision; it does not claim to be exhaustive, and a risk that is not listed is not thereby absent. No mitigation described here eliminates the risk it addresses, and none should be read as a commitment that a mitigation will remain effective as conditions change.

Nothing in this section is investment, legal or tax advice, and nothing in this document is an offer, a solicitation or a promise of return. The legal and regulatory framework should be read alongside this section rather than after it, and anyone relying on either should obtain independent advice in their own jurisdiction.
